It is the fifth time Smith has scored a box office chart topper during the Independence Day break in the US.
Last week's number one, Disney animation Wall-E, slipped to two, with Kit Kittridge: An American Girl the only other new entry in the top 10.
Bankability
The film, based on the US book and doll series, climbed 15 places to number eight, features Will Smith's daughter Willow.
Hancock took a total of $107.3m (Ј54.3m) after making an early opening on Tuesday ahead of the holiday weekend.
Paul Dergarabedian, president of box office analysts Media By Numbers, said Smith's bankability helped him to an eighth number one debut overall.
"Hancock did not get great reviews, but it doesn't matter. A guy like Will Smith is arguably the most-bankable star in the world," he said.
Box office business slipped by 4% compared to last year's 4 July weekend, when Transformers opened at number one.
But overall summer ticket returns are running 2% ahead of last year, when revenues exceeded $4bn (Ј2bn) for the first time.
